The standard “Terms of Sale” mentioned-below are for an electronic record maintenance purpose formed in lieu of the Information Technology Act, 2000. The rules and amended provisions mentioned thereunder do not require any physical, digital or electronic signature.
These “Terms of Sale” work as a legally binding document between the seller and the buyer wherein the seller makes the offer to sell the products by listing them on the website and the buyer accepts the sellers’ offers and agrees to buy the product listed on the website. The “Terms of Sale” binds the seller to advertise, exhibit and create a listing of the product on the website. It also binds the buyer to agree to purchase the products listed by the seller.
The seller is referred to an individual or any legal identity who can list, advertise, exhibit and offer to sell, make available, sale, deliver and market any Products through the website platform to the Buyer. Also, a User whether registered or a guest user, can purchase various products from the Seller on the website with the URL www.aptl.com. The “Terms of Sale” also has disclaimers and statements from the Arrow which bind both the Seller and the Buyer. In some cases, both the buyers and sellers may be collectively referred to as “you”.
It is advised to read the “Terms of Sale” carefully before listing any product or making a purchase of any product from the website. These terms of Sale enlist various Agreements, Terms and Privacy Policy, Terms of Use and other such policies. The Seller may include certain additional or conflicting terms and conditions related to his product only in the product description of his product. The Additional Terms of Sale listed by the Seller shall take precedence in case of conflict between the Terms of Sale and Additional Terms of Sale. If either the buyer or seller do not agree with the Terms of Sale on the website, they should not buy or list their product on the website.
These Terms of Sale are bound to undergo revision at any time as required by the company and so, the Buyers and Sellers are requested to carefully read the policies frequently to stay updated with any changes. The Revised Terms of Sale will be made available on the website with the “Last Updated” date mentioned.
It is advisable to visit the website regularly to check the Terms of Sale periodically for any changes and the Buyer should always check the Additional Terms of Sale of the Seller on the Product Listing. In some cases, you may be asked to provide a specific consent to any updated information on the website. If no separate consent is sought, it will be assumed that you agree to the mentioned Terms of Sale.

1. Offer and Acceptance of the Product:
1.1 The seller offers to sell the products listed by him on the website and the Buyer agrees to buy the products listed by the seller. The Contract for Sale of the Product is a Bipartite contract between the Seller and the Buyer. Arrow is a third party beneficiary under this contract. The Buyer agrees that the sale of the product by the Seller is not absolute or unconditional. The Seller is subject to repudiation and is under no obligation to provide any reason for such repudiation. The Seller has no liability towards the buyer. Both the Buyer and Seller understand that Arrow has the right to cancel any sale transaction, listing or acceptance without
(i) any reason in accordance with the Seller, Buyer Agreement or the Terms of Sale,
(ii) any order or instruction from any quasi-judicial, judicial or statutory authority.
2.1 Arrow respects the intellectual property rights of all entities. If you believe that these rights have been violated in any manner, kindly fill out and submit the Notice of Infringement of Intellectual Property Form, provided in the annexure below. Email this form to sales@aptl.in.
2.2 The availability of Product under the offer to sell is subject to change without notice. However, there may be circumstances where the Product may not be available for delivery to the Buyer after the purchase transactions. In such cases, the Seller may cancel the purchase transaction without any liability to the Buyer or Seller. If the payment had been processed prior to the delivery, the said amount will be revered into the Buyer’s bank account provided by the Buyer for such reversals, or to the payment instrument of the Buyer from which the payment was made, or to any prepaid account of the Buyer on the website. Arrow shall retain the sole discretion to determine the mode of amount reversal.
The selling price of the product is subject to change without any prior notice to the Buyer. The Seller can correct the price at any time. Any acceptance of offer of sale by the Buyer of the product with a faulty Selling Price shall, subject to discretion of the Seller, not be a valid acceptance and such a transaction can be rejected by the Seller. All the prices are inclusive of VAT unless stated otherwise.
